Terms & Conditions
These terms define the legal contract between prospective clients, commercial buyers, and Moso International Private Limited (parent operating company of Roasted Makhana, Moso Foods, and National Makhana Udyog) governing website usage, wholesale quotations, private-label manufacturing, and international exports.
1. Acceptance of Terms & Corporate Identity
By accessing roastedmakhana.com, requesting price catalogues, submitting B2B inquiries, or placing sample or commercial orders, you agree to be bound by these Terms & Conditions.
All formal proforma invoices, sales contracts, purchase orders, and export packing lists are executed directly under Moso International Private Limited.
2. Intellectual Property & Brand Assets
All digital content on this portal—including product photography, roasting methodology diagrams, nutritional data sheets, sensory flavour profiles, trademarks, logos, and factory documentation—is the exclusive proprietary property of Moso International Private Limited.
Reproduction, scraping, redistribution, or unauthorized commercial use of our photography, technical copy, or certification assets without explicit written consent is strictly prohibited.
3. Commercial Quotations, MOQs & Price Validity
Due to seasonal raw agricultural harvest cycles in the Katihar, Purnia, and Darbhanga crop belts:
- Quotation Validity: Price estimates provided on commercial raw or roasted Makhana are valid for 7 to 14 calendar days from the issuance date, unless specifically stated on a signed Proforma Invoice.
- Minimum Order Quantities (MOQ): Standard bulk seasoned makhana requires minimum order quantities (typically 50kg to 500kg for domestic bulk, and 1 x 20ft Full Container Load for global export shipments). Custom recipe development MOQs are mutually agreed upon during sample tasting.
- Sample Evaluation Packs: Flavour sample boxes dispatched for tasting are intended strictly for commercial assessment and trade validation.
4. Agricultural Standards, Sizing & Tolerances
Fox Nuts (Makhana / Euryale Ferox) are 100% natural aquatic harvest crops grown in wetland ponds. All products processed at our Katihar plant conform strictly to FSSAI and international food standards:
Note: A natural agricultural variance of up to 1.5% in natural pop irregular shape and minor black seed kernel remnants is standard across high-grade unpolished fox nuts.
5. OEM & Contract White-Label Manufacturing
For private-label partners contracting production at our facility:
- Client Artwork & Legal Compliance: The client is solely responsible for ensuring their private label brand names, barcodes, and marketing claims comply with the laws of their target retail jurisdictions.
- Recipe Confidentiality: Proprietary seasoning blends and exclusive flavour recipes formulated specifically for a white-label partner are safeguarded under strict mutual Non-Disclosure Agreements (NDAs).
- Nitrogen Flush Packaging: We utilize food-grade multi-layer barrier pouches with nitrogen flush to guarantee minimum 9 to 12 months shelf-life under recommended ambient storage conditions.
6. Commercial Payment Terms & Currencies
Transactions are executed through verified corporate banking channels of Moso International Private Limited:
Domestic Orders (India): Executed in Indian Rupees (INR) plus applicable GST via RTGS / NEFT / IMPS to our corporate bank account.
International Exports: Executed in United States Dollars (USD), Euros (EUR), or UAE Dirhams (AED) via Wire Transfer (TT) or Confirmed Irrevocable Letter of Credit (LC) at Sight.
No production dispatch is initiated without clearance of agreed commercial advance or operational LC verification.
7. Force Majeure & Limitation of Liability
Neither party shall be liable for delays or non-performance caused by events beyond reasonable human control, including but not limited to severe monsoonal flooding in North Bihar rivers, harvest crop failures, maritime port blockades, customs strikes, or international maritime route disruptions.
In all circumstances, the maximum cumulative liability of Moso International Private Limited for any dispute, defect, or commercial non-conformity shall not exceed the actual invoice value of the affected batch.
8. Governing Law & Dispute Resolution
These Terms & Conditions and any commercial supply agreements arising hereunder shall be construed and governed in accordance with the substantive laws of the Republic of India.
Exclusive Judicial Jurisdiction:
Any dispute, controversy, or claim arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts in Patna / Katihar, Bihar, India.
